1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Moti, operated by Sylogic Labs ("Moti", "MotiHub", "we", "us", "our"). By accessing, browsing, or using the MotiHub platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the platform.

2. Platform Description

MotiHub is an online marketplace platform that facilitates connections between vehicle buyers and sellers ("Dealers"). MotiHub provides the technology infrastructure only and is not a party to any transaction between buyers and dealers. We do not own, sell, resell, manage, offer, deliver, or control any vehicles or services listed on the platform. MotiHub is not a dealer, broker, agent, insurer, financing provider, or escrow service.

3. User Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use Moti. By registering, you represent and warrant that all information provided is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Disclaimer of Liability

CRITICAL: MotiHub provides the platform on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We expressly disclaim all liability for:

• The accuracy, quality, safety, legality, or availability of any vehicles or services listed on the platform
• The conduct, identity, or representations of any user (buyer or dealer)
• Any transaction, dispute, or communication between users
• Fraudulent listings, misrepresentations, or scams by users
• Vehicle defects, mechanical issues, accidents, or title problems
• Payment disputes, non-delivery, or failure to complete transactions
• Loss of data, business interruption, or platform downtime
• Any damages arising from your use or inability to use the platform

5. User Responsibilities and Due Diligence

Buyers must: Conduct independent inspections, verify vehicle history (NTSA records, accident reports), test drive vehicles, review all documentation, and satisfy themselves as to the condition, ownership, and legal status of any vehicle before purchase. MotiHub does not conduct inspections or verify vehicle condition.

Dealers must: Ensure all listings contain accurate and truthful information, possess legal authority to sell listed vehicles, comply with all applicable laws and regulations, and honor the terms agreed upon with buyers.

6. Prohibited Activities

Users shall not: (a) post false, fraudulent, misleading, or illegal content; (b) list stolen vehicles or vehicles with disputed ownership; (c) impersonate others or create fake accounts; (d) circumvent or manipulate platform features or security measures; (e) harvest user data or contact information; (f) transmit viruses, malware, or harmful code; (g) engage in harassment, threats, or abusive behavior; (h) violate any applicable laws, regulations, or third-party rights.

7. Listing Fees and Payments

Dealers agree to pay applicable listing fees as communicated at the time of listing creation. All fees are non-refundable unless otherwise stated in writing. We reserve the right to modify pricing at any time with notice. Non-payment may result in listing removal and account suspension.

8. Intellectual Property

All intellectual property rights in the MotiHub platform, including software, design, trademarks, logos, and content created by Moti, are owned exclusively by Sylogic Labs. Users retain ownership of content they upload but grant MotiHub a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content solely for operating and promoting the platform.

9. Account Termination

We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for any reason including but not limited to: violation of these Terms, fraudulent activity, legal requirements, or prolonged inactivity. Upon termination, your right to access the platform ceases immediately. We may retain certain information as required by law or for legitimate business purposes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Moti's total aggregate liability for any claims arising from or related to these Terms or your use of the platform shall not exceed the lesser of (a) KES 5,000 or (b) the total fees paid by you to Moti in the six (6) months preceding the claim.

IN NO EVENT SHALL MotiHub BE LIABLE FOR: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; personal injury or property damage; or any damages arising from transactions between users. This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Moti, Sylogic Labs, and our affiliates, directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your breach of these Terms; (c) your violation of any laws or third-party rights; (d) content you post or transmit; (e) any transaction or dispute with other users.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the platform shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya. You irrevocably waive any objection to venue or inconvenient forum.

Before initiating any legal proceeding, parties agree to attempt good-faith negotiation for thirty (30) days. If negotiation fails, the parties may pursue resolution through the Kenyan courts.

13. Third-Party Services

The platform may contain links to third-party websites, services, or providers (insurance, financing, inspection services, logistics). These are provided for convenience only. MotiHub does not endorse, control, or assume responsibility for third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

14. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Moti, you consent to such collection and use in accordance with the Privacy Policy.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least fourteen (14) days before taking effect. Your continued use of the platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using the platform.

16. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MotiHub regarding use of the platform and supersede all prior agreements, representations, and understandings.
